John Mackewich is a member of the firm’s Business Group and Cannabis and Hemp Group. He counsels business owners, serial entrepreneurs, C-suite executives, in-house counsel, and human resources directors on day-to-day business and human resources decisions.
John represents clients - ranging from early stage businesses to privately-held middle market companies to Fortune 500 companies - on all aspects of corporate transactions, including mergers, acquisitions and divestitures. His experience extends into the commercial finance world, where he represents both borrowers and lenders in secured lending and finance transactions, including mezzanine credit facilities.
John also has experience with public company securities compliance, including SEC periodic reporting, proxy materials, registration issues, public disclosure issues, and corporate governance.
John provides oversight and advice on international business operations and transactions for domestic companies as well as foreign companies entering the United States. He also acts as general outside counsel for companies who do not have an in-house attorney.
Since 2012, John has guided cannabis businesses and investors through the legal, regulatory, operational and financial aspects of the industry. John has drafted and obtained cultivation, processing, dispensary and safety compliance/testing licenses for marijuana and hemp operators throughout the United States. He has overseen the multi-state expansion of licensed marijuana operators and handles regulatory compliance for licensed companies. He has experience drafting marijuana and hemp supply and distribution agreements as well as ongoing packaging and labeling reviews for national distribution of hemp and CBD products.
In addition, John is a regular speaker on the evolving legal and business complexities facing the cannabis and hemp industries throughout the country.
Prior to joining the firm, John worked out of the Detroit office of Dinsmore & Shohl, LLP and was an extern for Justice Elizabeth Weaver of the Michigan Supreme Court.
